Corporate Bankruptcy Hurts Employee’s Most

Bankruptcy has evolved from something that people and businesses were deeply ashamed of a few decades ago, to a seemingly acceptable path to restructuring; towards a more sustainable future. Bankruptcy is so common in corporate America that it is referred to by some as an acceptable and necessary business tool.
This bothers me on a number of levels, but mainly because corporate bankruptcies hurt the humble employee the most. The laws are supposedly designed to help the company stay in business, and continue to provide jobs. But at what cost to those employees?
When a company declares bankruptcy, they are essentially admitting to the world that they failed to compete. Their business model was flawed, they were poorly managed, and they simply did not organize their resources appropriately to meet their consumer needs.
Given this failure, it shocks me, that bankruptcy laws are designed to allow management to get together with their bankers. They essentially protect each other. Management is obsessed with holding on to power. The bankers are obsessed with avoiding a loss.
The bankruptcy produces a document called first-day-orders. This is a blueprint for guiding the organization towards future prosperity. But this is essentially drafted by the existing company management, and their bankers. Do you see any conflict of interest emerging here?
Bankers are given super-priority claims to the money they have loaned the company. Even before employee pension fund obligations. This is absurd. Surely if they loaned money to an enterprise that failed, they deserve to lose their money.
Management generally rewards itself with large bonuses, after declaring failure, paying off their bankers, shafting the employees, and finally re-emerging with a vastly smaller company. This is ridiculous.
The humble employee pays the highest price. Assuming there is even a job to return to after restructuring they have likely given up pay, working conditions, healthcare benefits, and pension benefits.
This is exactly what happened at United Airlines in 2002 after they filed for chapter 11 bankruptcy protections. The CEO received bonuses, and was entitled to the full retirement package. The banker’s enjoyed super-priority claims over company assets to cover their loans. Meanwhile, the employees lost wages, working conditions, healthcare benefits, and a 30% reduction in pension benefits.
An adjustment like this would force a serious re-evaluation of retirement plans. For most people, it would require additional years in the workforce before retirement could even be considered a real possibility.
Employees of General Motors, which recently went through bankruptcy proceedings, also had to give up significant healthcare benefits, and life insurance benefits. Entering bankruptcy, it was the objective to reduce retiree obligations by two-thirds. That’s a massive cut.
The warning to all of us here is that we must do everything possible not to fall victim to corporate restructuring. Save all you can, outside of your expected pension plan, because you never know when poor management, or a terrible economy, will force your employer to file bankruptcy. Always plan for the worst possible outcome.
It’s a competitive world and it’s quite possible that the traditional American system of benefits is uncompetitive, and unsustainable in the global market place. The tragedy of adjusting to a more sustainable system is that the employee suffers the most.
Why I Hate Payday Loans
I hate payday loans and payday lenders.
The way a way a payday loan works is that you go into a payday lender and you sign a check for the amount you want to borrow, plus their fee. They give you money that you don’t have to pay back until payday. It’s generally a two-week loan.
Now, this two week loan comes with a fee, so if you want to borrow $100, they’ll charge you a $25 fee, plus a percent of the total loan, so for that $100 loan, you’ll have to pay back $128.28.
That’s only 28% of actual interest; that’s not terrible. However, if you prorate that to figure the APR, which is what everyone means when they say “I’ve got a 7% interest rate”, it comes out to 737%. That’s nuts.
They are a very bad financial plan.
Those loans may save you from an overdraft fee, but they’ll cost almost as much as an overdraft fee, and the way they are rigged–with high fees, due on payday–you’re more likely to need another one soon. They are structured to keep you from ever getting out from under the payday loan cycle.
For those reasons, I consider payday loan companies to be slimy. Look at any of their sites. Almost none are upfront about the total cost of the loan.
So I don’t take their ads. When an advertiser contacts me, my rate sheet says very clealy that I will not take payday loan ads. The reason for that is–in my mind–when I accept an advertiser, I am–in some form–endorsing that company, or at least, I am agreeing that they are a legitimate business and I am helping them conduct that business.
In all of the time I’ve been taking ads, I’ve made exactly one exception to that rule. On the front page of that advertiser’s website, they had the prorated APR in bright, bold red letters. It was still a really bad deal, but with that level of disclosure, I felt comfortable that nobody would click through and sign up without knowing what they were getting into. That was a payday lender with integrity, as oxymoronic as that sounds.
Huh?

I’m overbanked.

I won’t give up my herd of CapitalOne 360 accounts. I use those to track my savings goals, all 17 of them. I can’t drop my business accounts, my kids’ savings accounts, or the personal accounts that I actually use to spend money.
I do, however, need to simplify a bit.
Last month, I went through the hassle of transferring my 401k from two jobs ago and my IRA from my last job. Now, I’m down to just two retirement accounts. One is for my current job, and the other is a self-managed IRA with Sharebuilder.
Two down.
A few months ago, I went to yet another bank to close an account. My last job offered crappy health insurance, but balanced it out with an HSA. It complicated things, but the actual costs came to almost the same as the previous plan that didn’t have a high deductible. When I left, my HSA just sat there.
Last year, my oldest got braces, so I cleaned out the HSA ahead of time so we could pay up front and save 5% without paying interest.
Another one down.
That’s three accounts down out of 34.
Thirty-four?
Crap. That’s retirement accounts, business accounts, and personal accounts for two adults and three kids.
Bank 1 has the checking account we use, plus two savings accounts, one of which is where we store the rent money until we take a payday.
Bank 2 has a checking account, 16 savings accounts, and stock-trading account, a CD, and two IRAs for my wife and I.
Bank 3 has a checking account, and savings account for each of two businesses I own, a spare set of personal accounts, a savings account for each of the kids, and a checking account for my teenager.
Bank 4 holds nothing but my current 401k.
The only thing I can simplify without sacrificing my organizational jungle is to combine the personal accounts from bank 1 and 3. The problem is that Bank 1 has all of my bill pay information and there is still an account open for my mother-in-law’s estate. We keep that open just in case we find any other checks we need to cash. Bank 3 has my business accounts tied to my personal account and is the bank that my business partner uses, so that’s convenient to move money around.
I may be stuck.
Integrity
I’ve spent my entire adult life trying to live to a fairly strict code of behavior.

I don’t cheat. Not at games, in my relationships, on my taxes, nothing. I don’t cut corners or try to get away with things.
The reason isn’t that I’m trying to be some fictional knight in a storybook. It’s been my experience that cutting those corners always seems to be more expensive in the long run, whether it’s fines, lost friends and relationships, or even a general crappiness of life. The people I know who are always trying to get away with stuff or get ahead at someone else’s expense have the least, whether that’s money, friends, loved ones, or happiness.
Living a noble, honorable life has benefits.
I don’t pay fines and penalties often. Just the occasional speeding ticket, but that’s been one in the last 10+ years. Not getting fined for parking in a handicap spot or cheating on my taxes makes it far easier to save my money and build my wealth than constantly handing money over to the government. I’ve got a friend who can’t keep himself away from the justice system. Spending 3 or more months in jail every year makes it hard to keep a job or have a relationship with your family.
My friends know they are my friends. They can count on me and that means I can count on them. They also know that if that equation falls out of balance, it will be over. I only want friends I can count on. If you can’t have my back, or you feel a need to gossip about my life, I don’t want you in it.
My kids have no insecurities about my love. They know I am here for them, no matter what happens. Even if the occasional temper tantrum has them screaming that I clearly hate them, they know better. They know this father’s love is unconditional.
Work trusts me. Last year, I basically created the department I work in my telling my boss that I was sure I could make it work.
I have some badass karma. In general my life if pretty good, and I like to think it’s because I work to be a good person, do good things, and treat the people in my life right.
There are some downsides. Not everyone lives like this and I have problems relating to them. I’m not a sympathetic person to someone who tries to duck out on child support or who has to spend 30 days in the workhouse for trying to hock a stolen stereo. I can come across as a bit self-righteous.
I expect the people in my life to live the same way and treat me the same way. When that fails to happen, those people are nearly always evicted from life.
Life’s too short for people willing to screw you over.
Sometimes, though, that eviction is too complicated to do quickly, cleanly, or easily. That’s can be a turmoil in my life, and I hate turmoil. I don’t normally have to debate the correct course of action. Something is either right or it’s not. If it’s not, I know it and it doesn’t get done. If I have to wonder, then it’s definitely not right.
Every once in a while, I get stuck with a choice between shitty options and that’s where this system fails. Sometimes, no option is good, right, and proper. Every choice has a big downside, and none of the choices are clearly right.
That’s turmoil. Indecisive, emotional, horrible turmoil.
